2027 Annual / Special Member Meeting  •  Member-Sponsored Resolutions

Member / owner (printed): __________________________________________________________

Unit address: __________________________________________

Representative and directed proxy holder: Travis Mitchell

Controlling proposal: Rice Lake Terrace Townhomes Association, Inc., “2027 Member-Sponsored Resolutions,” 12 amendments (Resolutions 2027-02 through 2027-13), attached version dated:

__________________________.

I appoint Travis Mitchell solely for the limited purposes and directions below, to the extent allowed by the Declaration, Bylaws, and applicable Minnesota law. This appointment grants no general authority over my property, finances, lawsuits, or unrelated matters.

1 | MEMBER MEETING REQUEST — AUTHORIZED

I authorize my representative to deliver, support, and follow up on a written request or petition for a special meeting of Association members, or to request placement of the stated matters on the 2027 Annual Meeting notice and agenda. The requested meeting agenda is (1) the open Compass management referendum, (2) the twelve proposed Bylaw amendments, (3) the four separate director-removal questions and legally applicable replacement elections, and (4) presentation and discussion of the 2026 landscaping-contract decision and supporting records.

My signature on this instrument expresses support for submitting the meeting request. If the governing documents or law require a separately signed petition, this instrument does not replace that required signature. My representative may sign a meeting request in my name only if expressly lawful; otherwise a separate member-signed request shall be obtained.

2 | COMPASS MANAGEMENT — OPEN, RECORDED MEMBER VOTE

I expressly direct my proxy to vote FOR Resolution 2027-01: that the Association discontinue its professional management relationship with Compass Management Group, Inc., and pursue a lawful, orderly transition. This is a request for membership direction and does not itself terminate the management contract.

I request that this question be presented for an OPEN, NON-SECRET membership vote, with votes and proxies counted and the results entered in the official meeting minutes. The meeting should not classify the matter as a confidential Board-only decision or conduct a private Board ballot in place of the requested member referendum. Any mandatory ballot-secrecy, privacy, proxy-validation, or voting requirements of law or the governing documents control; public disclosure of individual owners’ votes is not authorized beyond what is lawfully permitted.

MEMBER DIRECTION:  FOR is a vote for discontinuing Compass services. AGAINST or ABSTAIN on this resolution has the same value.

3 | TWELVE BYLAW AMENDMENTS — FOR VOTES ONLY

I direct my representative to cast a FOR vote on each of the twelve separately identified amendments below, but only where I have marked its FOR box. No authority is granted to vote AGAINST or ABSTAIN on any amendment; an unmarked item shall not be voted under this authorization. A materially changed amendment requires fresh written direction. This authorization is limited to the version/date identified above; a title or number alone does not authorize changed text.

Note: Resolution 2027-14 (certification of adopted amendments) is administrative rather than a second member vote. Resolution 2027-15 (implementation) is not part of the twelve Bylaw amendments and is not independently authorized for a vote by this section.

4 | INDIVIDUAL DIRECTOR REMOVAL — MEMBER CHOOSES

I authorize properly noticed, independent votes concerning the four directors listed below. My proxy shall vote on each person only in the direction selected by me. Mark exactly ONE option per director; unmarked or multiply marked rows carry NO voting authority. “FOR removal” means remove that director; “AGAINST removal” means retain that director. Teresa Aho, board president, is not included in this authorization.

Any vacancy and replacement election must follow applicable law and governing documents. I authorize attendance and participation in the election process, but NO vote for an unidentified replacement candidate without my separate written direction.

5 | 2026 LANDSCAPING CONTRACT DECISION — RECORDS AND EXPLANATION

I authorize my representative to request and inspect records and seek an explanation of the 2026 decision to terminate, decline to renew, replace, or otherwise change the Association’s landscaping/groundskeeping arrangement, including the prior Koch Landscaping contract and any replacement arrangement, insofar as these records are lawfully available to members.

The request covers: (a) Board meeting notices, minutes, motions, votes and written consents; (b) existing and replacement contracts, termination/nonrenewal correspondence and effective dates; (c) proposals, bids, comparative costs, vendor selection criteria and any applicable procurement exceptions; (d) invoices, payments, duplicate or overlapping work scopes and service authorizations; (e) documented service deficiencies, property-damage allegations or claims relied upon; and (f) disclosed relationships or conflicts of interest involving a selected vendor.

I authorize my representative to request that the Board explain this decision to members and preserve the supporting records. This section authorizes information requests and discussion—not a finding of wrongdoing, a director-removal instruction, cancellation of a contract, litigation, or waiver of any member right. The independent director choices in Section 4 govern any removal votes.

6 | SCOPE, EXPIRATION, REVOCATION AND EXECUTION

This instrument applies only to properly noticed Association member meetings and lawful adjournments involving the specified matters. It does not authorize execution of contracts, spending, asset transfers, settlement, or unrelated votes. The member may revoke the proxy in the manner permitted by law. It expires March 31, 2027, or earlier upon an applicable mandatory legal limit or revocation; a later meeting requires renewed authorization.
